1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the LAYAworks website, software, applications, integrations, APIs, and related services made available through layaworks.ai and associated platforms (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

In these Terms, "LAYAworks," "we," "us," and "our" refer to LAYAworks. "You" and "your" refer to the individual, company, employer, applicant, customer, or other legal entity using the Services.

2. Description of Services

LAYAworks is a recruiting and hiring software platform designed to help employers manage applicant workflows and help applicants apply for opportunities through a streamlined digital experience.

The Services may include:

job application intake
applicant tracking
interview scheduling
workflow automation
employer dashboards
integrations
access controls
communication features
other recruiting and hiring software functionality made available by LAYAworks

LAYAworks may also provide Indeed Management.

Indeed Management is limited to Indeed-related campaign oversight, optimization, and performance guidance. It does not include general administrative operation of the customer's account within the LAYAworks platform, including adjusting calendar settings, contacting applicants on the customer's behalf, changing workflows, modifying platform settings, or handling other internal account administration tasks unless expressly stated in a separate written agreement.

LAYAworks may update, improve, modify, suspend, or discontinue portions of the Services at any time.

3. Eligibility

You must be at least 16 years old to use the Services. By using the Services, you represent and warrant that you meet this minimum age requirement and have the legal capacity to enter into these Terms.

If you use the Services on behalf of a company or other organization, you represent and warrant that you are authorized to bind that entity to these Terms.

4. Accounts and Account Security

Certain features of the Services may require an account, login credentials, or other verified access method.

You are responsible for:

providing accurate, current, and complete information
maintaining the confidentiality of your account credentials
restricting access to your account and devices
all activity that occurs under your account, except to the extent caused by LAYAworks' own breach of security obligations

You must promptly notify LAYAworks if you become aware of unauthorized access, account misuse, or a security incident involving your account.

LAYAworks may suspend, restrict, or terminate access to an account if we reasonably believe the account has been compromised, is being misused, or is being used in violation of these Terms.

5. Customer Responsibilities

You are responsible for using the Services lawfully, responsibly, and in a manner consistent with your own hiring, business, and compliance obligations.

You agree that you are responsible for:

maintaining lawful, accurate, and current job, company, and hiring information
using the platform in compliance with applicable employment, privacy, anti-discrimination, and communications laws
making hiring decisions independently and lawfully
maintaining any third-party accounts, permissions, or credentials required for integrations you choose to use
providing a lawful and professional experience for applicants and candidates
reviewing and managing your own workflows, settings, users, and account activity unless otherwise expressly agreed in writing

LAYAworks provides software and related services, but does not guarantee hiring outcomes, applicant volume, candidate quality, business growth, or recruiting results.

6. Applicant Terms

If you use the Services as a job applicant, you agree that:

the information you submit will be truthful, accurate, and not misleading
you will submit only information you have the legal right to provide
your application information may be shared with the employer, hiring organization, or hiring team associated with the opportunity
LAYAworks does not guarantee interviews, offers, employment, or any specific hiring outcome
you will not impersonate another person or submit fraudulent application materials

7. Employer and Business User Terms

If you use the Services as an employer, recruiter, hiring manager, business user, or administrator, you agree that:

you will use the Services only for legitimate business and hiring purposes
job postings, hiring materials, and workflow content you provide will be accurate and lawful
you will use applicant information only for legitimate hiring and employment-related purposes
you will not export, scrape, resell, misuse, or unlawfully disclose applicant information obtained through the Services
you are responsible for your account settings, hiring process configuration, user permissions, and internal use of the platform
you will not rely on LAYAworks to perform internal administrative tasks unless expressly stated in a separate written agreement

8. Connected Accounts and Integrations

The Services may allow you to connect third-party accounts, systems, or integrations, including calendars, authentication providers, and workflow-related services.

By enabling a connected account or integration, you authorize LAYAworks to access and use the information reasonably necessary to provide the requested functionality.

You are responsible for ensuring that you have the rights, permissions, and authority required to connect any third-party account, calendar, or service.

Third-party services are governed by their own terms, privacy policies, and operational practices. LAYAworks is not responsible for third-party services or their acts or omissions.

9. Payment Terms

If you purchase a paid subscription, feature, or service, you agree to pay all applicable charges presented to you at the time of purchase.

Unless otherwise stated in a separate written agreement, subscriptions may renew automatically until canceled. You authorize LAYAworks and its payment processors to charge the payment method on file for recurring fees and other authorized charges.

Fees are non-refundable except where required by law or expressly stated otherwise by LAYAworks in writing.

LAYAworks may change pricing, packaging, or available features at any time, but any such changes will apply prospectively unless otherwise stated.

10. Failed Payment and Service Disablement

If an initial or recurring payment fails, you are responsible for promptly updating your payment method and resolving the failed charge.

LAYAworks may provide a grace period of up to three (3) calendar days following a failed payment attempt. If payment is not successfully processed within that three-day grace period, LAYAworks may disable access to the platform and related services until the account is brought current.

During any period of disablement caused by failed payment or non-payment, access to features, workflows, integrations, account functionality, and related services may be limited or unavailable.

LAYAworks is not responsible for losses, interruptions, missed hiring activity, or other consequences resulting from account disablement caused by failed payment, expired cards, insufficient funds, or other payment issues outside of LAYAworks' control.

11. Cancellation and Termination by You

You may cancel your subscription in accordance with the cancellation method made available by LAYAworks or as otherwise provided in your customer agreement.

Unless otherwise stated in a separate written agreement, cancellation will stop future renewals but will not entitle you to a refund for charges already processed.

Upon cancellation, access to some or all parts of the Services may end immediately or at the end of the then-current billing period, depending on the plan, service, or cancellation terms applicable to your account.

Cancellation or termination may result in deactivation of access to workflows, employer tools, applicant-facing assets, integrations, and other associated platform functionality.

12. Suspension and Termination by LAYAworks

LAYAworks may suspend, restrict, or terminate your access to all or part of the Services at any time if we reasonably believe that:

you have violated these Terms
you have created legal, financial, reputational, or security risk
your use of the Services is fraudulent, abusive, or unlawful
suspension is necessary for security, maintenance, operational, or compliance reasons
payment obligations have not been satisfied

We may also remove or restrict access to content, users, workflows, or integrations if reasonably necessary to protect the Services, LAYAworks, or other users.

13. Acceptable Use and Prohibited Conduct

You agree not to:

use the Services for unlawful, fraudulent, deceptive, or abusive purposes
post false, misleading, or non-existent job opportunities
collect, scrape, harvest, or extract personal data without authorization
upload malicious code or interfere with the security or operation of the Services
attempt to gain unauthorized access to accounts, systems, or data
impersonate another person or misrepresent your affiliation or authority
use the Services in violation of any applicable law or regulation
resell, sublicense, or exploit the Services except as expressly permitted by LAYAworks in writing
use applicant information for unrelated marketing, spam, or unlawful outreach

14. Customer Content and Data

You retain ownership of the data, text, files, job content, application responses, submissions, and other materials you submit to the Services ("Customer Content").

You grant LAYAworks a non-exclusive, worldwide, limited license to host, use, process, copy, transmit, display, and modify Customer Content solely as necessary to provide, secure, support, and improve the Services, and as otherwise permitted by applicable law and our Privacy Policy.

You represent and warrant that you have all rights necessary to provide Customer Content and to authorize LAYAworks to use it as described in these Terms.

15. Intellectual Property

The Services, including their software, design, interface elements, workflows, templates, features, structure, branding, and related materials, are owned by or licensed to LAYAworks and are protected by intellectual property and other applicable laws.

Except for the limited rights expressly granted in these Terms, no right, title, or interest in the Services is transferred to you.

You may not copy, reproduce, modify, distribute, lease, sublicense, sell, reverse engineer, create derivative works from, or otherwise exploit the Services except as expressly permitted by LAYAworks in writing or as required by law.

If LAYAworks provides templates, campaign language, workflow assets, ad structures, or related materials as part of the Services, those materials may not be copied, republished, distributed, resold, or reused outside the authorized use of the platform except as expressly permitted in writing by LAYAworks.

16. Privacy

Your use of the Services is also governed by the LAYAworks Privacy Policy, available at https://app.layaworks.ai/privacy, which is incorporated into these Terms by reference.

17. Beta Features

LAYAworks may designate certain features as beta, pilot, preview, early access, or similar. Those features may be incomplete, change materially, contain errors, or be discontinued at any time.

Beta features are provided on an "as is" basis without any commitment to continue making them available.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LAYAworks does not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components.

LAYAworks does not guarantee recruiting performance, applicant volume, hiring results, candidate quality, business outcomes, or compatibility with every third-party service or workflow.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYAWORKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF LAYAWORKS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

the amount you paid to LAYAworks for the Services during the twelve (12) months preceding the event giving rise to the claim; or
$100 USD

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless LAYAworks and its officers, directors, employees, affiliates, contractors, licensors, and agents from and against any claims, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

your use of the Services
your Customer Content
your violation of these Terms
your violation of applicable law
your infringement, misuse, or violation of another party's rights

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved on an individual basis and not as part of a class, collective, or representative action.

To the maximum extent permitted by law, you and LAYAworks waive any right to participate in a class action, class arbitration, or representative proceeding.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for misuse of intellectual property, unauthorized access, confidentiality violations, or similar matters requiring urgent relief.

22. Changes to These Terms

LAYAworks may update these Terms from time to time. If we do, we will post the revised Terms and update the "Last Updated" date above.

If changes are material, LAYAworks may also provide notice through the Services, by email, or by other reasonable means.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.

23. General Terms

These Terms constitute the entire agreement between you and LAYAworks regarding the Services, unless superseded by a separate written agreement signed by LAYAworks and you.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

A failure by LAYAworks to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign these Terms without LAYAworks' prior written consent. LAYAworks may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.

24. SMS Text Messaging Terms

By providing your phone number and opting in to receive text messages from LAYAworks, you consent to receive SMS messages related to your use of the Services. This section constitutes the terms and conditions of the LAYAworks text messaging program.

24.1 Program Description

The LAYAworks text messaging program sends transactional SMS messages to applicants and employers in connection with the recruiting process. Messages include:

One-time verification codes for identity confirmation and account access.
Application status updates (received, reviewed, interview, offer, etc.).
Interview scheduling confirmations and reminders.
Hiring process notifications and next steps.

24.2 Message Frequency

Message frequency varies depending on your application activity and hiring stage. You may receive approximately 10 messages per month. Messaging frequency may increase during active interview scheduling periods.

24.3 Message and Data Rates

Standard message and data rates may apply. Check with your mobile carrier for details about your messaging plan and any charges that may apply to SMS messages.

24.4 Opt-Out / How to Stop

You may opt out of receiving text messages at any time by replying STOP to any message you receive from LAYAworks. After opting out, you will receive a single confirmation message and no further text messages. You may also opt out by contacting us at help@layaworks.ai.

Note: Opting out of SMS does not affect other communications (email) or your application status. You will still be able to access the Services and check your application status online.

24.5 Help / Customer Care

For help with text messages, reply HELP to any message you receive, or contact us at help@layaworks.ai.

24.6 Carrier Liability

Carriers are not liable for delayed or undelivered messages. LAYAworks is not responsible for messages that are delayed or fail to deliver due to carrier issues, network congestion, or device incompatibility.

24.7 Consent Not Required

Consent to receive text messages is not a condition of purchasing any goods or services, or of applying for any job through LAYAworks. You may decline SMS opt-in and still use the Services.

24.8 No Third-Party Sharing of Consent

Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent will not be shared with third parties except messaging providers required to deliver the service. Your messaging consent is used exclusively by LAYAworks to deliver the transactional messages described in this section.
